The following community guidelines are intended to help you understand what it means to be a member of Mdlcntrcts. Don’t forget that your use of Mdlcntrcts is also subject to our Terms of use.

What to do?

Mdlcntrcts is intended for members to share original model contracts, model contract clauses and contracts checklists that they themselves have created. It is also a forum to discuss best practices of cross-border contracting, and to ask questions about (model) contracts and contract drafting.

Do upload model contracts that you have created yourself.
Respect the copyright of others. This means: do not copy or translate model contracts or model contract clauses that other people have shared and use or upload them as your own.

Do moderate your model contracts.
All content on Mdlcntrcts, public and private, has to be appropriately moderated. If your judgment proves to be poor, we’ll moderate your account. Please consider our guidelines How to share before uploading a model contract or model clause.

Be collaborative and participate.
We’re a global community of many types of people. Although we’re legal professionals, contracts professionals and other professionals working with contracts, and therefore used to be faced difficult or harsh situations, they may not think what you think or believe what you believe. So, be polite and respectful in your uploads and interactions on Mdlcntrcts.

Do link back to Mdlcntrcts when you post someone’s model contract entries elsewhere.
Mdlcntrcts makes it possible to post content hosted on Mdlcntrcts to other web sites. However, pages on other websites that display content hosted on must provide a link from each model contract or model contract clause back to its page on This provides a way to get more information about the model contract (or discussions about it on Mdlcntrcts) and about the author.

Upload your picture in your personal account.
It makes your participation and uploads on Mdlcntrcts more relevant and less impersonal.

See the world through others’ eyes, participate, and expand your knowledge and horizons!

What not to do

We will most probably give second chances to violations, intended or unintended, of these community guidelines or Terms of Use. However, violating any of the principles below may result in account deletion with or without warning.

Don’t upload anything that isn’t yours.
This includes other people’s model contracts and model clauses you’ve copied or collected from around the internet. Accounts that consist primarily of such collections may be deleted at any time.

Don’t upload content that is illegal or prohibited.
If we find you doing that, your account will be deleted and we’ll take appropriate action, which may include reporting you to the public authorities.

Don’t vent your frustrations or bore other members.
Mdlcntrcts is not a venue for you to harass, abuse, impersonate or intimidate others. If we receive a valid complaint about your conduct, we’ll send you a warning or delete your account.

Don’t use Mdlcntracts for (personal) advertisement or referring to your weblog.
We know it is tempting to advertise your special expertise or bring your qualifications in a certain jurisdiction to the attention of others. Please, keep that in (the description in) your personal account; not on the contracts discussions forum or in the model contracts thread of Mdlcntrcts. If you’re truly an expert, others will find their way to your profile.

Don’t use Mdlcntracts as a newsletter.
We know it’s tempting to bring developments in case law or in laws and regulations in your jurisdiction to the attention of the world, especially when you wrote a newsletter. Mdlcntracts, however, is not a place to post this here or to link to your website hosting your newsletter. Sometimes, however, certain issues in your legal system have bothered the world – this is typically the case in the major common law jurisdictions. Discuss this on the platform.

Don’t use Mdlcntrcts to sell.
People who want to work with you will be able to find you. If we find you engaging in commercial activity, we will warn you or delete your account. For example, you might want to sell products, services or yourself through your model contracts or initiated discussions topics. We understand this, and don’t want to stop you if your model contracts are still easy to clean up, or if your discussions are moderate and ‘discussable’ as to the merits of Mdlcntrcts.

Don’t use Mdlcntrcts as a document or contract management system.
Mdlcntrcts is for sharing model contract and model clauses. Do not host your signed contracts, contracts-to-be-negotiated, sample documents, memorandums, personal notes, non-legal documents or as a replacement for a content distribution network (DMS, CMS, CLM, ERP etc.).

Don’t use Mdlcntracts for non-contractual stuff.
Mdlcntrcts is focused on sharing model contracts, model clauses and contracts checklists. If we find you using your account to host pictures, presentations, newsletters, generic graphic elements and other (clearly) non-contractual or non-legal elements, or if you demonstrate suspicious upload behaviour that impacts the stability of our servers, we will warn you or delete your account.

A few things to keep in mind

Other People (their content, their behaviour).
You will see all sorts of things on Mdlcntrcts, some of which may offend you. If you are offended by a remark or uploaded file, please report this, together with all the information we need to take action.

Copyright infringement.
If you see a model contract or model clause that you’ve created, uploaded by another member, do not panic. This is probably just a misunderstanding and not malicious. A good first step is to contact them via e-mail and politely ask them to remove it. If that doesn’t work, please notify the infringement to the Mdlcntrcts team who will take it from there.

You may be tempted to post on our public forum about such infringement, but that’s not the best way to resolve a possible copyright problem. We don’t encourage singling out individuals like this on Mdlcntrcts as it could be seen as harassment which is against our guidelines.

If you don’t feel that you can abide by our community guidelines, maybe Mdlcntrcts isn’t for you. We’ve drafted these guidelines to improve everyone’s experience within the Mdlcntrcts community.
